1. Acceptance of Terms

By accessing and using the website futurecrafts.world and the services provided by FutureCrafts GmbH ("Company", "we", "our", or "us"), you ("Client", "you", or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our website or services.

These Terms constitute a legally binding agreement between you and FutureCrafts GmbH, a company incorporated under German law with registration number HRB582741, having its registered office at Bahnhofstraße 73, 60384 Frankfurt, Hesse, Germany.

2. Description of Services

FutureCrafts provides IT infrastructure solutions including but not limited to:

• Cloud infrastructure design and implementation
• Data centre solutions and management
• Network architecture and optimisation
• Cybersecurity services and consulting
• IT consulting and strategic planning
• Managed IT services and support

Specific terms for each service will be outlined in separate service agreements or statements of work.

3. User Obligations

By using our services, you agree to:

• Provide accurate and complete information when requested
• Use our services only for lawful purposes and in accordance with these Terms
• Not attempt to gain unauthorised access to our systems or networks
• Not interfere with or disrupt our services or servers
• Comply with all applicable laws and regulations
• Maintain the confidentiality of any login credentials or access information
• Notify us immediately of any suspected unauthorised use of your account

4. Payment Terms

Payment terms will be specified in individual service agreements. General payment conditions include:

• Fees are payable in Euros (EUR) unless otherwise specified
• Payment is due within 30 days of invoice date unless otherwise agreed
• Late payments may incur interest charges as permitted by German law
• All fees are exclusive of applicable taxes, which are your responsibility
• We reserve the right to suspend services for overdue payments

5. Intellectual Property

All content, materials, and intellectual property on our website and in our services, including but not limited to text, graphics, logos, software, and methodologies, are owned by or licensed to FutureCrafts and are protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable licence to use our services for their intended purpose. You may not:

• Copy, modify, or distribute our proprietary materials
• Reverse engineer or attempt to derive source code
• Remove or alter any copyright or proprietary notices
• Use our intellectual property for competitive purposes

6. Confidentiality

Both parties acknowledge that they may have access to confidential information. We agree to:

• Maintain the confidentiality of your business information
• Use confidential information solely for service delivery purposes
• Implement appropriate security measures to protect confidential data
• Return or destroy confidential information upon termination

7. Data Protection and Privacy

We are committed to protecting your privacy and personal data in accordance with the General Data Protection Regulation (GDPR) and German data protection laws. Our collection, use, and processing of personal data is governed by our Privacy Policy, which forms an integral part of these Terms.

By using our services, you consent to our data processing practices as described in our Privacy Policy.

8. Service Availability

While we strive to provide reliable services, we do not guarantee uninterrupted availability. Service levels and availability commitments will be specified in individual service agreements. We reserve the right to:

• Perform scheduled maintenance with reasonable notice
• Suspend services for emergency maintenance or security reasons
• Modify or discontinue services with appropriate notice

9. Limitation of Liability

To the maximum extent permitted by German law, FutureCrafts shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from or related to these Terms or the use of our services.

Our total liability for any claims arising under these Terms shall not exceed the amount paid by you for the specific service giving rise to the claim in the twelve (12) months preceding the claim.

This limitation of liability does not apply to damages caused by wilful misconduct or gross negligence, or to liability that cannot be excluded under mandatory German law.

10. Indemnification

You agree to indemnify and hold harmless FutureCrafts, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your breach of these Terms
• Your violation of applicable laws or regulations
• Your misuse of our services
• Any third-party claims related to your use of our services

11. Termination

Either party may terminate these Terms or any service agreement:

• With 30 days' written notice for convenience
• Immediately for material breach that remains uncured after 14 days' notice
• Immediately if the other party becomes insolvent or bankrupt

Upon termination, you must cease using our services and pay all outstanding fees. Provisions relating to confidentiality, intellectual property, and limitation of liability shall survive termination.

12. Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, government actions, or network failures.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated to you via email or through our website. Continued use of our services after such notification constitutes acceptance of the modified Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with German law, without regard to conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods shall not apply.

Any disputes arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Frankfurt am Main, Germany.

15. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect. The invalid provision shall be replaced by a valid provision that comes closest to the economic intent of the invalid provision.

16. Entire Agreement

These Terms, together with our Privacy Policy and any applicable service agreements, constitute the entire agreement between you and FutureCrafts regarding the use of our services and supersede all prior agreements and understandings.
